Recent Updates to the Delaware General Corporation Law
The Delaware General Corporation Law was recently amended, effective as of August 1, 2022. In addition to an amendment authorizing the protection of corporate officers from personal liability for money damages, which we discussed in a prior client advisory, this advisory discusses some of the other amendments to Delaware’s corporate statute.

Delaware recently amended its corporate statute, effective as of August 1, 2022, to allow a Delaware corporation to protect its officers from personal liability for money damages. Delaware corporations need to take action to implement this important protection.

New Jersey Now Allows 100% Virtual Shareholders Meetings
The New Jersey Business Corporation Act (the “Act”) has been amended to allow New Jersey corporations to hold shareholders meetings remotely, without the necessity of a physical location for the meeting or a state of emergency. In other words, New Jersey now allows shareholders meetings that are 100% virtual.
