Awaiting Case Law, Amendments a Decade Into NJ-RULLCA
Partner Gianfranco Pietrafesa, a member of the firm's Business Counseling and Mergers & Acquisitions Groups, authored an article for New Jersey Lawyer magazine reflecting on the last decade since the enactment of the New Jersey Revised Uniform Limited Liability Company Act. Archer attorneys Charles Dennen and Thomas Tyrrell co-authored The Legal Intelligencer article, “New Interior Department Rule Proposes Increase in Cost to Acquire and Maintain Federal Oil and Gas Leases,” writing about a new bill that will aim to modernize federal oil and gas leasing regulations. These regulations have not been significantly modified since 1988, and this new rule comes amid increased scrutiny over whether existing regulations are outdated and no longer protective of the federal government's fiscal interests.

Understand Your Obligations Under the New Corporate Transparency Act
Archer attorneys, Gianfranco A. Pietrafesa (Franco) and Zhao Li co-authored the article, "Understand Your Obligations Under the New Corporate Transparency Act, recently published in CIANJ’s Commerce Magazine ." The Corporate Transparency Act (“CTA”), which became effective on January 1, 2024, will force more than 30 million privately-held companies to register with the federal government and disclose certain personal information about their owners and management. In their article, Franco and Zhao summarize a company’s obligations under the CTA. The CTA applies to companies formed in the U.S., as well as companies formed outside the U.S. and registered to do business in the U.S. The federal government will enforce compliance with significant civil and criminal penalties on companies, senior management and owners who fail to comply with the CTA.

On April 23, 2024, the Department of Labor (“DOL”) announced long-awaited revisions to overtime regulations under the Fair Labor Standards Act (“FLSA”). The most important change will allow many more workers to receive overtime pay because the DOL raised the minimum salary that employees must receive before they can ever be exempt from overtime under the recognized “white collar” exemptions for executives, professionals, and administrative employees. The DOL also finalized its proposed changes to the separate highly compensated employee exemption’s total annual compensation requirement methodologies. The revised earning thresholds will become effective on July 1, 2024, and will increase again, significantly, on January 1, 2025.

With wage transparency laws being enacted across the country, employers need to protect themselves given the shifting legislative landscape to prevent pay discrimination. Labor & Employment partner, David Rapuano, provided his thoughts on pay equity disputes in the New Jersey Law Journal article, “ Pay Equity Disputes May Be the ‘Sleeping Giant’ of Wage Transparency Laws, Employment Lawyers Predict.” In the article, David is quoted as saying, ”the biggest complexity he sees with wage transparency laws is the sheer number of cities and states with such legislation on their books and the nuances of each law in each jurisdiction.” He noted that it is not that the laws are bad but it adds additional layers to have so many laws apply to the same organization.

The American Lawyer article, “The Sweet Spot Between Microaggressions and Empty Words: Threading the Needle on Associate Feedback,” includes comments from Shelley Smith, Archer’s Chief Diversity, Equity and Inclusion Officer. With associate feedback recently coming under scrutiny, the article discusses law firms and their partners’ possible struggle to deliver appropriate guidance to associates while keeping diversity, equity and inclusion considerations in mind. While partners risk inadvertently incorporating microaggressions into feedback, not offering feedback to associates is another form of discrimination.

Alice Paul Institute Names Debra Rosen to the Board of Directors
Partner Debra S. Rosen has been appointed to the Board of Directors of the Alice Paul Institute (“API”). She will serve a three-year term. Matthew Nicodemo Appointed Young Lawyer Trustee to the Bergen County Bar Association
Archer is pleased to announce that attorney Matthew M. Nicodemo has been appointed Young Lawyer Trustee to the Bergen County Bar Association’s (BCBA) Board of Trustees. Matthew was sworn in at the BCBA’s Annual Meeting & Beefsteak Dinner, held at the Teaneck Marriott Glenpointe on April 4th. A member of the BCBA since 2015, Matthew served as President of the Young Lawyers Division last year, and previously served on the Young Lawyers Division Executive Board as President-Elect, Vice President, Treasurer, and Secretary. Matthew is a member of the firm’s Estate & Trust Litigation; Private Wealth, Estates & Trusts; and Business Litigation Groups. He represents clients in civil matters, with an emphasis in litigation involving will contests; disputes between fiduciaries and beneficiaries; guardianship matters; accountings; trust interpretation and reformation; and businesses. Following law school, Matthew served as a judicial law clerk to the Honorable Menelaos W. Toskos (Ret.) in the Superior Court of New Jersey, Chancery Division, General Equity and Probate Part in Hackensack, NJ. Matthew received his J.D. from Villanova University School of Law. During law school, he was an intern with the United States Securities and Exchange Commission as part of its Student Honors Program, where he assisted in enforcement actions related to insider trading, market manipulation, and accounting fraud.
